Terms of Use

1. Agreement to Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and SoundsWire LLC (“SoundsWire LLC”, “we”, “us”, or “our”) governing your access to and use of the platform available at agenticrelay.app and any related services (collectively, the “Service”).

By creating an account or otherwise accessing the Service, you confirm that you are at least 16 years of age (or 18 where required by applicable law), that you have read and understood these Terms, and that you agree to be bound by them. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, you must not access or use the Service.

2. The Service

SoundsWire LLC provides an AI agents platform that allows users to build, configure, train, and deploy AI-powered agents on custom knowledge bases. Features may include, but are not limited to:

• Creating and managing AI agents
• Uploading documents and data for retrieval-augmented generation (RAG)
• Embedding agent chat widgets on external websites
• Workspace and team management
• Usage-based billing and subscription management

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Accounts and Registration

You must create an account to access most features of the Service. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your credentials and not share your password
• Promptly notify us of any unauthorized use of your account at support@agenticrelay.app
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Upload, transmit, or distribute malware, viruses, or other harmful code
• Attempt to gain unauthorized access to any systems or networks
• Harass, abuse, threaten, or discriminate against any person
• Generate or distribute illegal, defamatory, obscene, or hateful content
• Impersonate any person or entity
• Scrape, crawl, or extract data from the Service in an unauthorized manner
• Circumvent rate limits, security controls, or access restrictions
• Use the Service to build a product that directly competes with SoundsWire LLC in a manner that breaches these Terms

We reserve the right to investigate and take appropriate action against violations, including removing content, suspending accounts, and reporting to law enforcement.

5. Your Content

You retain ownership of all content you upload to the Service (“User Content”). By uploading User Content, you grant SoundsWire LLC a limited, non-exclusive, worldwide, royalty-free license to host, process, transmit, and display your User Content solely to provide and improve the Service.

You represent and warrant that:

• You have all rights necessary to grant the above license
• Your User Content does not violate any law or third-party rights
• You will not upload personal data of third parties without appropriate authorization

We do not use your User Content to train our own AI models or share it with third parties except as necessary to provide the Service.

6. Intellectual Property

The Service, including its design, code, logos, trademarks, and content created by SoundsWire LLC, is the exclusive property of SoundsWire LLC and its licensors, protected by copyright, trademark, and other applicable laws. These Terms do not grant you any right to use our trademarks, trade names, or branding.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

7. Billing and Payments

Certain features of the Service require a paid subscription or credit-based usage. By providing payment information you authorize us to charge fees as described on our pricing page, through our payment processor (Stripe).

• Subscriptions renew automatically at the end of each billing period unless you cancel beforehand
• Credits (top-ups) are non-refundable under any circumstances and expire 1 year from the date of purchase
• Refunds for subscription fees may be issued at our discretion within 14 days of charge if the Service was not usable due to a fault on our part
• Prices are subject to change with 30 days' notice
• You are responsible for all applicable taxes

8. Free Tier

We offer a free tier — not a time-limited trial — that allows you to create and test one AI agent so you can evaluate the Service before upgrading to a paid plan. Free-tier usage is subject to rate limits and feature restrictions as described in the product. We reserve the right to modify or discontinue free-tier offerings with reasonable notice.

9. Third-Party Services and AI Providers

9.1 Underlying AI Providers

The Service routes requests through third-party AI model providers depending on the model you select. These currently include, but are not limited to:

• Cloudflare Workers AI — Meta Llama, Mistral, Qwen, DeepSeek (distill), IBM Granite, Google Gemma, OpenAI OSS, and other open-weight models
• OpenAI — GPT-5, GPT-4.1, GPT-4o, o-series reasoning models, Whisper, TTS
• Anthropic — Claude Opus, Sonnet, and Haiku model families
• Google — Gemini 2.5 Pro/Flash, Gemini 2.0 Flash series
• xAI — Grok 4, Grok 3 model families
• DeepSeek — DeepSeek V3, DeepSeek R1 and distilled variants
• Perplexity — Sonar search-augmented models
• Cohere — Embed and Rerank models
• Deepgram — Nova and Flux speech-to-text, Aura text-to-speech
• Cartesia — Sonic text-to-speech models

Each provider operates under its own terms of service, usage policies, content policies, and data processing agreements. By using AI features on the Service, you also agree to comply with the applicable terms and acceptable use policies of the underlying model provider. We are not a party to those agreements and cannot guarantee their continued availability or terms.

9.2 No Warranty on AI Outputs

AI-generated content is produced by probabilistic models and is inherently unpredictable. SoundsWire LLC makes no representation or warranty of any kind — express, implied, or statutory — regarding the accuracy, completeness, reliability, fitness for a particular purpose, factual correctness, or legality of any output generated by an AI model through the Service.

9.3 Your Sole Responsibility for AI Outputs

You are solely and entirely responsible for:

• Reviewing, verifying, and validating every AI output before relying on or publishing it
• Ensuring AI outputs comply with all applicable laws and regulations in your jurisdiction
• Ensuring AI outputs do not infringe any third-party intellectual property, privacy, or other rights
• Any decisions, actions, or omissions made based on AI-generated content
• Any harm — financial, reputational, legal, or otherwise — caused to you or any third party as a result of acting on AI outputs

You must not use AI outputs in any context where errors could cause harm without independent expert review (including but not limited to medical, legal, financial, safety-critical, or emergency contexts).

9.4 No Liability for AI Provider Actions

SoundsWire LLC is not liable for any degradation, interruption, policy change, rate limiting, or discontinuation of service by any underlying AI provider. We reserve the right to add, remove, or replace AI model providers and specific models at any time without prior notice.

9.5 Prohibited AI Uses

You must not use the AI features of the Service to generate content that:

• Is illegal under applicable law
• Constitutes disinformation, fraud, or deliberate deception
• Harasses, threatens, or demeans any individual or group
• Infringes intellectual property rights
• Contains child sexual abuse material or any content that sexualizes minors
• Is designed to circumvent the safety measures of any AI model
• Is intended to cause physical, psychological, or financial harm to any person

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant that the Service will be free from errors, viruses, or other harmful components, or that defects will be corrected.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOUNDSWIRE LLC, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless SoundsWire LLC and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

13. Termination

You may terminate your account at any time through your account settings or by contacting us at support@agenticrelay.app.

We may suspend or terminate your access immediately, without prior notice, if you materially breach these Terms or if we are required to do so by law. Upon termination, your right to use the Service ceases immediately and we may delete your account data in accordance with our Privacy Policy.

Provisions that by their nature should survive termination (including Sections 5, 6, 10, 11, 12, 14, and 15) shall survive.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be subject to binding arbitration or the exclusive jurisdiction of competent courts, as applicable under the law of the jurisdiction where SoundsWire LLC is established, except where mandatory consumer protection laws in your jurisdiction grant you additional rights.

Before initiating formal proceedings, you agree to contact us at legal@agenticrelay.app and attempt to resolve the dispute informally for at least 30 days.

15. General Provisions

• Entire Agreement — These Terms, together with our Privacy Policy, constitute the entire agreement between you and SoundsWire LLC regarding the Service.
• Severability — If any provision of these Terms is found unenforceable, it shall be modified to the minimum extent necessary to make it enforceable; all other provisions remain in effect.
• No Waiver — Our failure to enforce any right does not constitute a waiver of that right.
• Assignment — You may not assign these Terms without our prior written consent. We may assign our rights freely.
• Force Majeure — We are not liable for delays or failures caused by events beyond our reasonable control.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.
